1. Applicability
1.1 These general terms and conditions apply to all offers, agreements, deliveries, services, rental and sales transactions between Joris Van Dijck NV and its customers, unless otherwise agreed in writing.
1.2 By placing an order or signing a rental or sales agreement, the customer declares to agree with these terms and conditions.
2. Quotations and prices
2.1 All quotations and price lists are non-binding and subject to printing and typographical errors.
2.2 All prices are excluding VAT, transport costs, fuel costs, machine breakdown scheme and any additional levies, unless stated otherwise.
2.3 Joris Van Dijck NV reserves the right to change prices in case of changed market conditions, exchange rate fluctuations or unforeseen cost increases.
3. Orders and cancellations
3.1 Orders and cancellations must always be made in writing (by e-mail).
3.2 In case of cancellation less than 24 hours before the agreed delivery date, Joris Van Dijck NV reserves the right to charge cancellation costs.
4. Delivery and collection
4.1 Delivery and collection take place at the agreed address and time, by Joris Van Dijck NV’s own transport or by the customer.
4.2 Upon delivery and collection, the customer or an authorized employee must be present for receipt, explanation and inspection.
4.3 Any waiting times not attributable to Joris Van Dijck NV will be charged to the customer.
5. Rental conditions
5.1 Rental periods:
Day: maximum 8 operating hours
Week: maximum 40 operating hours
Month (4 weeks): maximum 160 operating hours
5.2 If the permitted operating hours are exceeded, a surcharge will be charged per additional hour.
5.3 Machines must be used as a “prudent person” and must be properly secured when not in use.
5.4 Damage and/or theft must be reported within 48 hours. In the event of theft, a police report must be filed within 72 hours, and the police report must be provided to Joris Van Dijck NV.
5.5 The customer is responsible for operation by competent and authorized personnel. Any costs resulting from incorrect use are at the customer’s expense.
6. Machine breakdown scheme
6.1 For rental, a machine breakdown scheme of 5% of the rental price is applied as standard, covering unforeseen damage caused by non-intentional use.
6.2 Damage caused by intentional, reckless or improper use is not covered by this scheme and will be charged in full to the customer.
7. Payment
7.1 Invoices are payable within the payment term stated on the invoice.
7.2 In case of late payment, without prior notice of default, a late-payment interest of 1% per month is due, increased by a lump-sum compensation of 10% of the invoice amount (with a minimum of €50).
7.3 In case of rental, a deposit may be required, consisting of the rental price for the estimated period, increased by the machine breakdown scheme, transport costs, fuel costs and any pre-estimated damage.
8. Retention of title
8.1 All delivered goods remain the property of Joris Van Dijck NV until full payment of the invoice, including any interest and costs.
8.2 In case of non-payment, Joris Van Dijck NV reserves the right to retrieve the goods without court intervention.
9. Warranty and maintenance
9.1 Second-hand machines are delivered with a limited warranty, as agreed in the sales agreement.
9.2 For rented machines, Joris Van Dijck NV provides technical maintenance. Fuel, consumables and daily user checks are at the customer’s expense.
10. Liability
10.1 Joris Van Dijck NV is not liable for indirect damage such as production loss, loss of profit or other consequential damages.
10.2 The liability of Joris Van Dijck NV is in all cases limited to the invoice amount of the delivered or rented machine.
11. Force majeure
11.1 In the event of force majeure (such as strikes, fire, extreme weather conditions, pandemics, delivery issues, …), Joris Van Dijck NV is entitled to suspend or terminate the agreement without compensation.
12. Applicable law and disputes
12.1 All agreements are governed by Belgian law.
12.2 Disputes fall under the exclusive jurisdiction of the courts of the district of the registered office of Joris Van Dijck NV.
